1. ACCEPTANCE OF TERMS
By accessing or using the telemedicine services provided by Vitalized Lab LLC (“we,” “us,” or “our”), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services. These Terms and Conditions apply to all patients, visitors, and users of our website and telemedicine platform.
2. DESCRIPTION OF SERVICES
Vitalized Lab LLC provides non-emergency telemedicine services to patients located in California, Kansas, Idaho, Hawaii, Florida, Arizona, and New Mexico. Our services are conducted remotely via our HIPAA-compliant telemedicine platform, Optimantra. Services offered include virtual consultations, wellness evaluations, and other nonemergency healthcare services as determined appropriate by our licensed providers
Vitalized Lab LLC does not provide emergency medical services, primary care services, or in-person medical care. Our services are intended to supplement, not replace, your relationship with your primary care provider.
3. ELIGIBILITY
To use our services, you must be at least 18 years of age or the age of majority in your state of residence, be physically located in a state in which Vitalized Lab LLC is licensed to provide telemedicine services at the time of your consultation, have the legal capacity to enter into a binding agreement, and provide accurate and complete information during registration and throughout your care. By using our services, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must not use our services.
4. PATIENT LOCATION VERIFICATION AND STATE LICENSURE REQUIREMENT
In accordance with federal and state telemedicine laws, patients must be physically located in one of the states where Vitalized Lab LLC is licensed to provide telemedicine services at the time of each consultation. These states are California, Kansas, Idaho, Hawaii, Florida, Arizona, and New Mexico. By scheduling and attending a telemedicine consultation with Vitalized Lab LLC, you confirm and represent that you are physically located in one of the above;listed states at the time of service. Vitalized Lab LLC reserves the right to verify your physicallocation prior to and during each consultation. If you are not physically located in a state where we are licensedto practice, we will be unable to provide services and your appointment will be cancelled. It is your sole responsibility to ensure that you are located in an eligible state at the time of your telemedicine visit. Providing a false location constitutes a violation of these Terms and Conditions and may result in immediate termination of services.
5. STATE-SPECIFIC TELEMEDICINE COMPLIANCE
Vitalized Lab LLC is committed to complying with all applicable telemedicine laws, board of nursing regulations, and healthcare licensing requirements in each state where we provide services.
CALIFORNIA: All providers delivering telemedicine services to patients located in California are licensed by the California Board of Registered Nursing or the Medical Board of California, as applicable. California law requires that prior to the initial delivery of telehealth services, written or verbal informed consent must be obtained from the patient. California is not a member of the Nurse Licensure Compact. Providers serving California patients maintain individual California state licenses. All services comply with the California Telehealth Advancement Act and applicable California Business and Professions Code requirements.
KANSAS: Vitalized Lab LLC complies with the Kansas Telemedicine Act. Telemedicine services in Kansas are delivered via real-time, two-way interactive audio and visual communication. Kansas is a member of the Nurse Licensure Compact, and nurses holding multistate licenses may practice in Kansas while complying with Kansas state law. Prescribing via telemedicine in Kansas is subject to the same laws and regulations as in-person prescribing. Patient consent is obtained and documented in the medical record prior to services being rendered.
IDAHO: All telemedicine services provided to patients located in Idaho comply with Idaho’s Virtual Care Access Act, effective July 1, 2023. Idaho is a member of the Nurse Licensure Compact. Providers delivering telemedicine services to Idaho patients are licensed or registered in Idaho as required by Idaho Code Section 54-5705. Prior to each telemedicine visit, providers verify the identity and location of the patient, disclose their identity and Idaho license number, and obtain informed consent from the patient as required by Idaho law.
HAWAII: All providers delivering telemedicine services to patients located in Hawaii hold a valid Hawaii state license as required by Hawaii law. Hawaii requires that telemedicine services be provided via compliant platforms in accordance with Hawaii Administrative Rules and state health department guidelines. Informed consent is obtained prior to all telemedicine consultations in compliance with Hawaii state requirements.
FLORIDA: Vitalized Lab LLC complies with Florida Statute Section 456.47 governing telehealth services. Out-of-state providers serving Florida patients are registered with the Florida Department of Health as required by Florida law. Patient evaluations are conducted via telehealth in compliance with Florida Board of Nursing and Florida Board of Medicine standards. Vitalized Lab LLC does not prescribe Schedule II controlled substances via telemedicine to Florida patients except as permitted by Florida law. Informed consent is obtained from all Florida patients prior to the delivery of telemedicine services.
ARIZONA: Vitalized Lab LLC complies with Arizona Revised Statutes Title 36, Chapter 36 governing telehealth services. Out-of-state providers serving Arizona patients are registered with the applicable Arizona healthcare provider board as required by Arizona Revised Statutes Section 36-3606. Arizona is a member of the Nurse Licensure Compact, and multistate license holders practicing in Arizona comply with Arizona state law at all times. Verbal or written informed consent, including by electronic means, is obtained from all Arizona patients prior to the delivery of telemedicine services as required by Arizona Revised Statutes Section 36-3602.
NEW MEXICO: Vitalized Lab LLC complies with the New Mexico Telehealth Act and all applicable regulations ofthe New Mexico Board of Nursing and New Mexico Medical Board. Providers delivering telemedicine services to New Mexico patients hold the appropriate license or registration as required by New Mexico law. New Mexicorequires that all healthcare providers delivering telemedicine services be licensed by the appropriate licensing body or hold a valid New Mexico telemedicine license. Informed consent is obtained prior to all tele medicine consultations in compliance with New Mexico state requirements.
6. INFORMED CONSENT FOR TELEMEDICINE SERVICES
By using Vitalized Lab LLC telemedicine services, you acknowledge that you have been informed of and consent to the following: the nature of telemedicine services and how they will be delivered, the identity and credentials of your treating provider, the potential risks and limitations of telemedicine compared to in-person care, your right to refuse telemedicine services at any time without affecting your access to future care, the security measures in place to protect your health information, the possibility that technology failures may interrupt your consultation, and your provider’s physical location and applicable state license number upon request. Informed consent will be documented in your patient record in compliance with applicable state law.
7. PATIENT REGISTRATION AND ACCOUNT
To access our telemedicine services, you must create a patient account and complete all required intake forms through Optimantra. You agree to provide accurate, current, and complete information during registration, maintain and promptly update your account information as needed, keep your login credentials confidential and secure, notify us immediately of any unauthorized use of your account, and accept responsibility for all activity that occurs under your account. Vitalized Lab LLC reserves the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.
8. TELEMEDICINE SERVICES AND LIMITATIONS
Telemedicine involves the delivery of healthcare services using electronic communications and technology, including real-time two-way interactive audio and video communication. By using our telemedicine services, you acknowledge and agree that telemedicine is not a substitute for in-person medical care, our providers may not be able to diagnose or treat all conditions via telemedicine, some conditions require in-person evaluation and cannot be appropriately treated remotely, telemedicine consultations have inherent limitations compared to in-person visits, our providers reserve the right to refer you to an in-person provider when clinically appropriate, and telemedicine services are delivered via real-time, two-way interactive audio and video technology in compliance with applicable state law. Vitalized Lab LLC is not your primary care provider. You are responsible for maintaining a relationship with a primary care provider for comprehensive healthcare needs.
9. CASH-BASED PAYMENT POLICY
Vitalized Lab LLC operates exclusively on a cash-based payment model. All services must be paid in full prior to or at the time of service. We do not accept insurance and do not bill any insurance companies, including Medicare or Medicaid. Patients are solely responsible for all fees associated with services rendered. We accept payment through Authorize.net and Stripe. All fees are nonrefundable unless otherwise stated in our refund policy. Pricing for services is available on our website at vitalizedlab.com. 10. CANCELLATION AND REFUND POLICY
Appointments may be cancelled or rescheduled subject to the following terms: Cancellations made at least 24 hours prior to the scheduled appointment may be eligible for a full refund or reschedule at no additional charge. Cancellations made less than 24 hours prior to the scheduled appointment may be subject to a cancellation fee.
Noshows or missed appointments without prior notice will be charged the full appointment fee.
Vitalized Lab LLC reserves the right to modify this cancellation and refund policy at any time.
11. EMERGENCY SITUATIONS
VITALIZED LAB LLC IS NOT AN EMERGENCY MEDICAL SERVICE. Our telemedicine services are for non-urgent, non-emergency consultations only. If you are experiencing a medical emergency, including but not limited to chest pain or pressure, difficulty breathing, severe bleeding or injuries, loss of consciousness, signs of stroke including facial drooping, arm weakness, or speech difficulty, severe allergic reactions, thoughts of self-harm or suicide, or any other life-threatening condition, please call 911 or go to the nearest emergency room immediately. Do not attempt to contact Vitalized Lab LLC during a medical emergency. We are not equipped to provide emergency medical care.
12. INTELLECTUAL PROPERTY
All content on the Vitalized Lab LLC website, including but not limited to text, graphics, logos, images, and software, is the property of Vitalized Lab LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written consent.
13. PATIENT RESPONSIBILITIES
By using Vitalized Lab LLC services, you agree to provide accurate, complete, and truthful information about your health history, symptoms, and medications, confirm and accurately report your physical location at the time of each telemedicine visit, follow all treatment recommendations and instructions provided by our healthcare providers, notify your provider of any changes in your health status or adverse reactions to treatments, seek emergency care immediately when experiencing a medical emergency, use our telemedicine platform in a lawful and responsible manner, maintain a private and secure environment during telemedicine consultations, and keep your account credentials confidential and secure. Failure to comply with these responsibilities may result in the termination of your services with Vitalized Lab LLC.
14. DISCLAIMER OF WARRANTIES
Vitalized Lab LLC provides its services on an as-is and as-available basis. We make no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of our services for any particular purpose. We do not guarantee that our telemedicine platform will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of our services is at your sole risk.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Vitalized Lab LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to loss of data or medical records, misdiagnosis or delayed diagnosis due to the limitations of telemedicine, technology failures or internet connectivity issues, unauthorized access to your account or personal information, and any decisions made based on information provided through our telemedicine platform. Our total liability to you for any claims arising from your use of our services shall not exceed the amount you paid for the specific service giving rise to the claim.
16. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Vitalized Lab LLC, its officers, directors, employees, providers, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms and Conditions, or your violation of any applicable laws or regulations.
17. PRIVACY AND HIPAA COMPLIANCE
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference. As a telemedicine provider, Vitalized Lab LLC is subject to HIPAA and handles all Protected Health Information in accordance with applicable federal and state laws. Please review our Privacy Policy and HIPAA Notice of Privacy Practices for more information on how we collect, use, and protect your information.
18. THIRD-PARTY SERVICES
Vitalized Lab LLC uses third-party service providers to operate our telemedicine practice, including Optimantra for electronic medical records and telemedicine services, and Authorize.net and Stripe for payment processing. These third-party services are governed by their own terms and conditions and privacy policies. We are not responsible forthe practices of any third-party service providers.
19. MODIFICATIONS TO TERMS AND CONDITIONS
Vitalized Lab LLC reserves the right to modify these Terms and Conditions at any time. Changes will be postedon our website with an updated effective date. Your continued use of our services after any changes are posted constitutes your acceptance of the revised Terms and Conditions. We encourage you to review these terms periodically.
20. TERMINATION OF SERVICES
Vitalized Lab LLC reserves the right to suspend or terminate your access to our services at any time, with or without cause, including but not limited to violation of these Terms and Conditions, providing false or misleading information including false patient location, non-payment of fees, abusive or threatening behavior toward our staff or providers, and clinical reasons determined by our healthcare providers. Upon termination, we will provide reasonable notice when possible and will cooperate in transferring your medical records to another provider as permitted by law.
21. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms and Conditions or your use of our services shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.
22. SEVERABILITY
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
23. ENTIRE AGREEMENT
These Terms and Conditions, together with our Privacy Policy, HIPAA Notice of Privacy Practices, Telehealth Consent, Medical Disclaimer, and Financial Policy, constitute the entire agreement between you and Vitalized Lab LLC regarding your use of our services and supersede all prior agreements and understandings.
